These Terms and Conditions ("Terms") govern access to and use of the hey partner platform, website, software, and services (collectively, the "Platform"), operated by hey partner ("hey partner", "we", "us", or "our").

By creating an account, accessing, or using the Platform, you ("User", "you", or "your") agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Platform Overview

hey partner is a digital platform that enables businesses, brands, rights holders, event owners, and creators (collectively, "Users") to:

• Discover partnership or sponsorship opportunities
• Share business information relevant to partnerships
• Communicate and negotiate directly with other Users

hey partner is not a broker, agent, or representative of any User. We provide a platform for connection and communication only. All agreements, negotiations, and transactions are conducted directly between Users.

2. Eligibility

You may only use the Platform if:

• You are at least 18 years old
• You have authority to act on behalf of the organization you represent
• All registration information you provide is accurate, current, and complete

You are responsible for all activity under your account.

3. Account Security

You must:

• Keep login credentials secure and confidential
• Not share your account access with others
• Notify us immediately of any unauthorized access
• Maintain accurate and up-to-date account information

hey partner is not liable for losses resulting from failure to protect your credentials.

4. User Accounts and Types

4.1 Account Types

The Platform offers two primary account types:

• Brand Accounts: For businesses seeking partnership and sponsorship opportunities to amplify their brand visibility and reach target audiences
• Rights Holder Accounts: For organizations, event owners, creators, and rights holders looking to connect with brands for partnership opportunities

4.2 Registration Requirements

When registering, you must provide:

• Valid business or brand name
• Your first and last name
• Valid email address
• Secure password (minimum 6 characters)
• Agreement to these Terms and Conditions

4.3 Account Verification

hey partner reserves the right to verify account information and may request additional documentation to confirm identity or business legitimacy. Failure to provide requested verification may result in account suspension or termination.

5. Subscription Plans and Payment

5.1 Subscription Tiers

hey partner offers multiple subscription tiers with varying features and access levels:

• Starter: Free tier with basic access
• Growth: Paid tier with enhanced features
• Pro: Paid tier with advanced features
• Enterprise: Paid tier with premium features and support

Detailed pricing and features are available on our pricing page and may be updated from time to time with reasonable notice.

5.2 Billing and Payments

• Paid subscriptions are billed monthly or annually as selected
• All payments are processed securely through Stripe
• Fees are charged in advance and are non-refundable except as required by law
• You authorize us to charge your payment method on a recurring basis
• It is your responsibility to keep payment information current

5.3 Subscription Changes and Cancellations

• You may upgrade, downgrade, or cancel your subscription at any time from your profile
• Upgrades take effect immediately and may result in prorated charges
• Downgrades take effect at the end of the current billing period
• Cancelled subscriptions remain active until the end of the billing period
• No refunds are provided for partial months or unused services

5.4 Failed Payments

If a payment fails, we will attempt to process it again. If payment cannot be processed after multiple attempts, your account may be downgraded or suspended until payment is received.

6. User Conduct and Prohibited Activities

6.1 Acceptable Use

You agree to use the Platform only for lawful business purposes and in accordance with these Terms.

6.2 Prohibited Activities

You must not:

• Post false, misleading, or fraudulent information
• Impersonate any person or entity or misrepresent your affiliation
• Engage in spam, phishing, or other deceptive practices
• Harass, threaten, or abuse other Users
• Post content that is defamatory, obscene, or offensive
• Violate any intellectual property rights
• Circumvent or interfere with security features of the Platform
• Use automated tools (bots, scrapers) without authorization
• Collect or harvest User data without consent
• Use the Platform for any illegal or unauthorized purpose
• Resell or redistribute access to the Platform

6.3 Content Standards

All content you post must:

• Be accurate and truthful
• Not infringe on third-party rights
• Comply with all applicable laws and regulations
• Be appropriate for a professional business platform

7. Partnership Listings

7.1 Creating Listings

Rights Holders may create partnership opportunity listings that include:

• Partnership details and descriptions
• Audience demographics and reach information
• Pricing and package information
• Images and media assets
• Contact information

7.2 Listing Approval

All listings are subject to review and approval by hey partner. We reserve the right to reject, remove, or request modifications to any listing that violates these Terms, contains inappropriate content, or does not meet our quality standards.

7.3 Listing Accuracy

You represent and warrant that all information in your listings is accurate, complete, and not misleading. You must update listings promptly if any information changes or becomes inaccurate.

7.4 Listing Ownership and Removal

You retain ownership of your listing content. However, by posting a listing, you grant hey partner a license to display, distribute, and promote it on the Platform. You may delete your listings at any time from your profile.

8. Communications and Messaging

The Platform may provide messaging or communication features to facilitate connections between Users. When using these features:

• Maintain professional and respectful communication
• Do not share sensitive financial or personal information through the Platform
• Be aware that hey partner may monitor communications for safety and compliance
• Do not use communications for spam or unsolicited marketing

9. Intellectual Property

9.1 Platform Content

The Platform, including its design, features, text, graphics, logos, and software, is owned by hey partner and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9.2 User Content

You retain ownership of content you post ("User Content"). By posting User Content, you grant hey partner a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content on the Platform and in our marketing materials.

9.3 Trademarks

"hey partner" and related logos and marks are trademarks of hey partner. You may not use our trademarks without prior written permission.

9.4 Copyright Infringement

If you believe content on the Platform infringes your copyright, please contact us with:

• Identification of the copyrighted work
• Identification of the infringing material
• Your contact information
• A statement of good faith belief that use is unauthorized
• A statement that information is accurate and you are authorized to act

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

• The content or practices of third-party services
• Your interactions with third-party services
• Any damages arising from third-party services

Your use of third-party services is subject to their own terms and policies.

13. Disclaimers and Limitations

13.1 Platform "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.2 No Guarantee of Results

hey partner does not guarantee that using the Platform will result in any partnerships, sponsorships, or business outcomes. Success depends on many factors beyond our control.

13.3 User Verification

While we may verify certain User information, we do not guarantee the identity, legitimacy, or reliability of any User. You are responsible for conducting your own due diligence before entering into any agreements.

13.4 Availability

We do not guarantee uninterrupted or error-free operation of the Platform. The Platform may be unavailable due to maintenance, technical issues, or circumstances beyond our control.

13.5 Third-Party Agreements

hey partner is not a party to any agreements between Users. We are not responsible for the performance, breach, or enforcement of agreements made through the Platform.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, hey partner, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from User Content or conduct of other Users
• Damages arising from unauthorized access to your account
• Damages arising from third-party services or content
• Any damages exceeding the amount you paid to hey partner in the past 12 months

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless hey partner, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content
• Any agreements or transactions between you and other Users

16. Account Termination

16.1 Termination by You

You may terminate your account at any time by contacting us or through your profile settings. Termination does not entitle you to a refund of subscription fees.

16.2 Termination by hey partner

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Threats to the security or integrity of the Platform
• Excessive complaints from other Users
• Non-payment of fees
• Any other reason at our sole discretion

16.3 Effects of Termination

Upon termination:

• Your right to access the Platform immediately ceases
• Your listings will be removed from public view
• We may delete your account data (subject to legal retention requirements)
• Fees paid are non-refundable
• Provisions that should survive termination will remain in effect

17. Dispute Resolution

17.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us to seek an informal resolution of any dispute.

17.2 Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to conflict of law principles.

17.3 Jurisdiction

Any disputes arising from these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of New Zealand.

18. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Notify you via email or through the Platform
• Provide reasonable notice before changes take effect

Your continued use of the Platform after changes constitute acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform and close your account.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements we publish on the Platform, constitute the entire agreement between you and hey partner.

19.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or in connection with a merger or sale.

19.5 No Agency

No agency, partnership, joint venture, or employment relationship is created between you and hey partner by these Terms or use of the Platform.

19.6 Force Majeure

hey partner is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, pandemics, or internet/utility failures.
